Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On October 25, 2007, Marchex, Inc. (the “Company”) filed a current report on Form 8-K to report that Nicolas J. Hanauer had been appointed to the Company’s Board of Directors as Vice Chairman, effective October 24, 2007. Pursuant to Instruction 2 to Item 5.02 of Form 8-K, this amendment on Form 8-K/A is being filed to report that the Company’s Board of Directors has appointed Mr. Hanauer to the Compensation Committee of the Board of Directors as Chairman and to the Nominating & Governance Committee of the Board of Directors as a member, effective January 1, 2008.
